1. Agreement to Terms

By accessing, browsing, or otherwise engaging with the services, website, or offerings provided by Jeanine Thompson LLC (referred to herein as “we,” “us,” or “our”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use & Services (“Terms”). These services are designed to support insight, awareness, and expanded capacity. Our services are educational and supportive in nature and are not a substitute for professional medical, psychological, legal, or financial advice, diagnosis, or treatment. We reserve the right to refuse service to anyone for any reason at any time.

3. Client Responsibility

As a client or user of our services, you affirm that you are the ultimate authority in your life, choices, and actions. You acknowledge and agree that:

  •      You are solely responsible for your decisions, actions, and outcomes resulting from the use of our services.

  •      Your engagement with our services is voluntary and at your own discretion.

  •      You will use your own judgment in applying any insights, strategies, or information gained from our services.

The Coach serves as a guide, facilitator, and partner. While we are committed to supporting your growth, no guarantees or warranties are made regarding specific outcomes, results, or achievements. Your success is dependent on your own efforts, commitment, and external factors beyond our control.

4. Confidentiality and Privacy

We are committed to honoring the privacy and discretion of all client engagements. Personal information and coaching content shared with Jeanine Thompson LLC are treated as confidential. We will not share your personal information or coaching content without your explicit consent, except where required by law or as detailed in our Privacy Policy.

Our data collection, use, storage, and protection practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to the terms of our Privacy Policy. Use of Technology, Recording, and AI-Supported Tools: In the context of coaching, supportive technologies, including session recording and AI-assisted note-taking, may be utilized to enhance accuracy and continuity. Such tools will only be used with your explicit knowledge and consent. You have the right to decline the use of recording or AI-supported tools at any time. Information shared through these tools is treated as confidential and used solely to support the coaching process, not for external analysis, distribution, or unrelated purposes, unless otherwise agreed upon or required by law.

5. Payments and Refunds

Payments for our services are processed securely through PayPal or other approved third-party payment processors. You agree to:

  •      Provide accurate, current, and complete payment information.

  •      Complete all agreed-upon payments in a timely manner.

We do not store or have direct access to your full financial account or card details. All payment transactions are subject to the privacy policies and terms of the respective third-party payment processors. Refund terms are defined within individual service agreements or program specific terms. Unless otherwise specified in a separate agreement:

 Services already delivered are non-refundable. Partial refunds, if applicable, are handled at our sole discretion or as explicitly outlined in your specific service agreement.

6. Intellectual Property

All materials, content, assessments, frameworks, methodologies, and digital products provided by Jeanine Thompson LLC, whether on our website, during coaching sessions, or through any other medium, are the exclusive intellectual property of Jeanine Thompson LLC. This includes, but is not limited to, text, graphics, logos, images, audio clips, video clips, data compilations, and software.

In some instances, Jeanine Thompson LLC may administer third-party tools, assessments (e.g., Hogan Leadership Assessments), or utilize specific coaching protocols (e.g., High Performance Coaching protocols) for which we hold the necessary certifications. These certifications are not professional licensures (e.g., medical, psychological, legal, or financial licenses). While you will receive results or benefit from the application of these tools, the intellectual property rights to these third-party materials remain with their respective owners.

All intellectual property, whether owned by Jeanine Thompson LLC or administered by Jeanine Thompson LLC under certification or authority from a third party, is provided for your personal, non-commercial development solely within the scope of your coaching engagement. You are expressly prohibited from reproducing, distributing, modifying, creating derivative works of, publicly displaying, publicly performing, republishing, downloading, storing, or transmitting any of this intellectual property without our prior written consent or the consent of the respective third-party owner. Your access to or receipt of results from any assessment or protocol does not grant you any ownership or redistribution rights to the underlying tools, methodologies, or materials themselves.

They are not intended to be a substitute for professional advice from licensed medical, psychological, legal, or financial professionals. You agree to defend, indemnify, and hold harmless Jeanine Thompson LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the services, including, but not limited to, your content, any use of the services’ content, products, and services other than as expressly authorized in these Terms, or your use of any information obtained from the services.

13. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the services will immediately cease. If you wish to terminate your account, you may simply discontinue using the services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved through good faith negotiation between the parties. If the parties are unable to resolve the dispute through negotiation, they agree to first attempt to resolve the dispute through mediation in Minnesota, with a mutually agreed-upon mediator. If mediation is unsuccessful, the parties agree to submit the dispute to binding arbitration in Minnesota, in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding upon both parties, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.

15. Updates to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the services.

16. Children’s Privacy

Our services are not intended for individuals under the age of 18. We do not knowingly collect personal information from children under 18. If we become aware that we have collected personal information from a child under 18 without verification of parental consent, we will take steps to remove that information from our servers.
